<h3 data-oe-version="2.0"><strong>General</strong></h3><p>The company (“Vendor”) supplies goods to the purchaser (“Purchaser”). These Terms and Conditions apply to all contracts for the supply and sale of goods by <strong>Rudra Exim Ltd</strong>, registered in England (Company No. 10300581), with its registered office at 3 Wollaston Crescent, Burnt Mills, Basildon SS13 1QD.</p><h3><strong>1. ORDER</strong></h3><p>1.1 The order constitutes an offer by the Purchaser to purchase goods under these Terms and Conditions.</p><p>1.2 Orders confirmed in writing, electronically, or verbally shall be deemed valid and binding.</p><p>1.3 The Purchaser acknowledges that no reliance has been placed on any prior statements or representations.</p><p>1.4 The Vendor reserves the right to refuse fulfillment of any order where previous outstanding dues remain unpaid.</p><h3><strong>2. DELIVERY</strong></h3><p>2.1 Each delivery shall be accompanied by a delivery note specifying order details and quantities.</p><p>2.2 Delivery shall be made to the agreed location as specified in the order.</p><p>2.3 Risk in the goods shall pass to the Purchaser upon unloading at the delivery location.</p><p>2.4 The Purchaser must inspect goods at the time of delivery.</p><ul><li><p>Claims for shortages or damage must be reported immediately.</p></li><li><p>Claims for short-dated goods (less than 3 months expiry) or shortages must be notified within 24 hours of delivery.</p></li></ul><p>2.5 Delivery times are approximate, and the Vendor shall not be liable for delays.</p><p>2.6 Orders exceeding £25 within the M25 and Greater London area qualify for free delivery. All other deliveries may incur applicable charges.</p><p>2.7 The Purchaser must inform the Vendor of any parking restrictions at the delivery location. The Vendor shall not be liable for any penalties incurred.</p><p>2.8 Any third party collecting goods on behalf of the Purchaser does so at the Purchaser’s own risk.</p><h3><strong>3. RISK AND OWNERSHIP</strong></h3><p>3.1 Goods shall normally have a minimum shelf life of three (3) months unless otherwise stated.</p><p>3.2 Ownership (title) of the goods shall not pass to the Purchaser until full payment has been received by the Vendor.</p><p>3.3 In the event of non-payment or insolvency:</p><ul><li><p>The Purchaser’s right to resell or use the goods shall cease immediately.</p></li><li><p>The Vendor reserves the right to reclaim the goods.</p></li><li><p>The Vendor may enter the Purchaser’s premises to recover such goods.</p></li></ul><h3><strong>4. PRICES AND PAYMENT</strong></h3><p>4.1 Prices shall be as agreed on the date of dispatch.</p><p>4.2 All prices are exclusive of VAT, which shall be charged additionally where applicable.</p><p>4.3 Prices quoted are valid for 48 hours from the date of the order.</p><p>4.4 Payment shall be due upon delivery unless otherwise agreed in writing.</p><p>4.5 Late payments shall incur interest at a rate of 3% per annum above the Barclays base rate.</p><p>4.6 The Purchaser shall be liable for any bank charges incurred due to returned payments, and the Vendor reserves the right to charge statutory interest on overdue balances.</p><h3><strong>5. LIMITATION OF LIABILITY</strong></h3><p>Nothing in these Terms and Conditions shall limit or exclude liability for:</p><ul><li><p>Death or personal injury caused by negligence</p></li><li><p>Fraud or fraudulent misrepresentation</p></li><li><p>Any liability that cannot be excluded under applicable UK law</p></li></ul><h3><strong>6. DATA PROTECTION</strong></h3><p>6.1 Telephone calls may be recorded for monitoring and training purposes.</p><p>6.2 The Vendor reserves the right to:</p><ul><li><p>Conduct credit checks and obtain references</p></li><li><p>Store, process, and use personal data for legitimate business purposes, including marketing</p></li></ul><p>6.3 Personal data may be disclosed where required by law or requested by governmental or regulatory authorities.</p><h3><strong>7. GOVERNING LAW AND JURISDICTION</strong></h3><p>These Terms and Conditions shall be governed by and construed in accordance with English law.</p><p>Any disputes arising shall be referred to arbitration by a single arbitrator appointed by the parties, or in the absence of agreement, by the President of the Chartered Institute of Arbitration (UK).</p>
